Technology transfer agreements are contracts that allow access to, use of, exploitation of, or development of knowledge, intangible assets, research, software, know-how, data, technical processes, or intellectual property rights. In practice, they do not fall into a single contractual category: they can take the form of licenses, assignments, confidentiality agreements, research contracts, consulting agreements, software development agreements, franchises, joint ventures, or hybrid arrangements, depending on the asset involved and the transaction.
Their relevance lies in their ability to transform knowledge into productive capacity. In an economy based on intangible assets, competitiveness depends not only on physical infrastructure or financial capacity, but also on the ability to access technology, integrate it into processes, adapt it, and legally protect it. Therefore, these contracts must be tailored to the type of knowledge transferred, the level of access granted to the recipient, the terms of use, and the strategic objectives of the parties.

This reality has broadened the scope of technology contracts. While traditionally the transfer was associated with patent, trademark, or know-how licenses, today it can also encompass digital platforms, source code, artificial intelligence models, databases, APIs, cloud systems, algorithms, technical documentation, or operating methodologies. Consequently, the contract cannot simply authorize the use of a technological asset; it must precisely define the scope of permitted exploitation and the distribution of risks between the parties.
From this perspective, the ownership of intellectual property rights, the treatment of improvements or derivative developments, confidentiality rules, usage restrictions, quality standards, liability for defects, technology reversibility, and dispute resolution mechanisms are all relevant. In the area of software, for example, who will own the development, who will have access to the source code, and how business information will be protected are key definitions for preventing disputes.
In Colombia, this discussion is especially important because technology transfer has been understood as a mechanism to strengthen innovation, entrepreneurship, and business competitiveness. The MinCiencias guide reflects this approach: although not legally binding, it guides ecosystem stakeholders on the need to identify the technology, assess its maturity level, define protection mechanisms, select the appropriate type of agreement, and structure conditions that allow the recipient to utilize it.
In international transactions, this structuring can have tax and registration implications, especially when payments are made abroad. For tax purposes, these agreements may qualify as technology import contracts. Article 123 of the Tax Code requires registration with the Colombian Tax and Customs Authority (DIAN), a crucial requirement for the deductibility of the expense for income tax purposes. Therefore, the contract must clearly describe the purpose, terms, consideration, duration, and any restrictions on use.
This need for structuring is reinforced when technology involves personal data or systems that allow its processing. In these cases, External Circular 002 of 2025 from the Superintendency of Industry and Commerce requires adopting a preventive approach: verifying regulatory compliance, documenting risks, and incorporating contractual guarantees for security, auditing, liability, and control.
In this context, the proper structuring of these contracts ensures that technology transfer is not simply a matter of access or use, but rather functions as a legal mechanism to protect intangible assets, assign responsibilities, and prevent disputes. In Colombia, this precision will be crucial for receiving, adapting, and sustainably utilizing technology.
